Terms of Service

1. Overview

These Terms of Service ("Terms") govern your access to and use of the XSpacio platform, operated by XSpacio Pty Ltd (ACN pending), a company registered in New South Wales, Australia ("XSpacio", "we", "us", or "our").

By creating an account or using any part of XSpacio, you agree to be bound by these Terms. If you do not agree, do not use the platform.

XSpacio serves two types of users:

  • Operators: businesses (typically tutoring centres) that use XSpacio to run a coworking space at their venue.
  • Members: individuals who book desks or purchase memberships at an operator's venue.

Where terms apply to one type only, that is noted. Otherwise, these Terms apply to both.

2. Definitions

  • "Platform" — the XSpacio software, website, member portal, operator dashboard, and associated APIs.
  • "Venue" — a physical coworking space operated by an operator using XSpacio.
  • "Membership" — a recurring subscription that grants a member access credits on a monthly basis.
  • "Visit pack" — a prepaid bundle of access credits purchased by a member.
  • "Credits" — units consumed when a member checks into a venue; one credit = one desk-day or half-day, as set by the operator.
  • "Stripe" — Stripe Inc., XSpacio's third-party payment processor.

3. Eligibility

You must be at least 18 years old to use XSpacio. By using the platform, you represent that you meet this requirement and that all information you provide is accurate and complete.

Operators must be a registered business entity in Australia (or another jurisdiction we expressly support) with a valid ABN and a Stripe-connected account in good standing.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at hello@xspacio.au if you suspect unauthorised access.

You may not share account credentials, create accounts on behalf of others without their knowledge, or use the platform for any purpose other than those contemplated by these Terms.

We reserve the right to suspend or terminate any account that we believe, in our reasonable discretion, has been compromised, is being used fraudulently, or is in breach of these Terms.

5. Operator terms

5.1 Subscription and fees

Operators pay a flat monthly subscription fee of $99 AUD (excluding GST) per venue location. Pricing may change with 30 days' written notice.

Fees are billed monthly in advance on the date you subscribed. Payments are processed by Stripe. By subscribing, you authorise XSpacio to charge the payment method on file on each renewal date.

Subscription fees are non-refundable except where required by Australian Consumer Law (ACL) or where XSpacio terminates your account without cause before the end of a billing period, in which case a pro-rata refund will be issued.

5.2 Member revenue

All revenue collected from members (visit packs, memberships, any other charges) flows directly to your connected Stripe account. XSpacio does not take a percentage cut of member revenue. You are responsible for your own GST obligations on revenue you collect.

5.3 Operator responsibilities

As an operator, you are responsible for:

  • Setting and clearly communicating your own venue rules, conduct expectations, cancellation policy, and opening hours to members.
  • Ensuring your venue complies with all applicable laws, including WHS legislation, building codes, and insurance requirements.
  • Holding appropriate public liability insurance for persons accessing your venue.
  • Maintaining the smart lock hardware and ensuring it operates correctly.
  • Handling member complaints and disputes in relation to your venue and services.
  • Handling member personal data in accordance with the Privacy Act 1988 (Cth) and Australian Privacy Principles.

XSpacio is a software platform only. We are not a party to any agreement between you and your members, and we accept no liability for the condition of your venue, your services, or any disputes between you and members.

5.4 White-label use

XSpacio provides a white-labelled website and member portal branded to your venue. You may not misrepresent the nature of the platform, claim to have built it independently, or sublicense platform access to other businesses. You may freely promote and market your coworking space under your own branding.

5.5 Termination by operator

You may cancel your subscription at any time from your operator dashboard. Cancellation takes effect at the end of the current billing period. Your data will be retained for 90 days post-cancellation, after which it will be deleted in accordance with our Privacy Policy.

6. Member terms

6.1 Identity verification

Members must complete identity verification before their first check-in. This involves submitting a government-issued photo ID via our verification partner. We store only the verification outcome — not your document. Failure to verify will prevent venue access.

6.2 Liability waiver

Members must sign an electronic liability waiver before accessing any venue. By signing, you acknowledge:

  • You use the venue at your own risk.
  • XSpacio and the operator are not liable for loss or damage to your property while at the venue.
  • You will comply with the venue's rules and the conduct standards set out in Section 6.4 below.

6.3 Credits and payments

Visit packs and memberships are purchased in advance. Credits are non-refundable once used. Unused credits from a cancelled membership are forfeited unless the operator's policy states otherwise.

Monthly memberships auto-renew on your billing anniversary. You may cancel at any time from the member portal; cancellation takes effect at the end of the current billing month.

If a payment fails, access will be suspended until the outstanding amount is cleared.

6.4 Member conduct

While at an XSpacio venue, you agree to:

  • Treat the space, equipment, and other members with respect.
  • Not access areas of the building outside those designated for coworking.
  • Not share access PINs with any other person.
  • Not use the venue for any unlawful purpose.
  • Comply with the specific rules set by the venue operator.

Breach of these conduct standards may result in immediate suspension of your access and potential account termination, at the discretion of the operator or XSpacio.

6.5 Access PINs

Access PINs are generated per check-in and are valid only for the booked session. PINs are single-use and tied to your account. Sharing a PIN is a breach of these Terms and may constitute trespass.

7. Prohibited uses

You must not use the XSpacio platform to:

  • Violate any applicable law or regulation.
  • Impersonate another person or entity, or provide false information.
  • Interfere with or disrupt the platform's infrastructure, servers, or networks.
  • Attempt to gain unauthorised access to any part of the platform or any other user's account.
  • Scrape, crawl, or extract data from the platform without our prior written consent.
  • Transmit viruses, malware, or any other malicious code.
  • Use the platform in a way that could harm XSpacio's reputation or the experience of other users.

8. Intellectual property

All intellectual property in the XSpacio platform — including code, design, trademarks, and content created by XSpacio — remains the exclusive property of XSpacio Pty Ltd.

Operators retain ownership of content they upload (logos, descriptions, images). By uploading content, you grant XSpacio a non-exclusive, royalty-free licence to display and reproduce that content solely for the purpose of operating your venue's white-labelled site and portal.

Members do not receive any intellectual property rights by using the platform.

9. Third-party services

XSpacio integrates with third-party services including Stripe (payments), Supabase (database), Vercel (hosting), Tuya (smart locks), and an identity verification provider. Your use of these services is also subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or actions of third-party services.

10. Service availability and changes

We aim for high availability but do not guarantee that the platform will be available 100% of the time. Scheduled maintenance, unscheduled outages, and third-party failures may cause interruptions. We will make reasonable efforts to notify operators in advance of planned downtime.

We reserve the right to modify, suspend, or discontinue any feature of the platform with reasonable notice. If we discontinue the platform entirely, we will provide at least 30 days' notice and a pro-rata refund of any prepaid subscription fees.

11. Limitation of liability

To the maximum extent permitted by Australian law:

  • XSpacio's total liability to any user in any 12-month period is limited to the amounts paid by that user to XSpacio in that period (or $99 AUD for members who have not paid XSpacio directly).
  • We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost revenue, lost data, or loss of goodwill.
  • We are not liable for any act or omission of an operator in relation to their venue or their members.
  • We are not liable for smart lock hardware failures, power outages, or any physical access issues at a venue.

Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)).

12. Indemnity

You agree to indemnify and hold harmless XSpacio, its officers, employees, and contractors from and against any claims, losses, damages, and costs (including reasonable legal fees) arising from:

  • Your breach of these Terms.
  • Your use of the platform in a way that causes harm to a third party.
  • For operators: any claim made by a member in relation to your venue, services, or conduct.

13. Dispute resolution

If you have a dispute with XSpacio, please contact us first at hello@xspacio.au. We will attempt to resolve disputes informally within 14 days.

If informal resolution fails, disputes will be referred to mediation administered by the Australian Disputes Centre before either party may commence court proceedings, unless urgent injunctive relief is required.

These Terms are governed by the laws of New South Wales, Australia. You submit to the exclusive jurisdiction of the courts of New South Wales.

14. Australian Consumer Law

Nothing in these Terms is intended to exclude, restrict, or modify any right or remedy you have under the Australian Consumer Law that cannot be excluded, restricted, or modified. Our services come with guarantees that cannot be excluded under the ACL. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have services re-supplied if they fail to be of acceptable quality.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email at least 14 days before the changes take effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.

16. Termination by XSpacio

We may suspend or terminate your account immediately if:

  • You breach these Terms and fail to remedy the breach within 7 days of written notice.
  • We believe your account is being used fraudulently or in a way that creates legal risk for XSpacio or other users.
  • You become insolvent or enter administration.

If we terminate your account without cause, we will provide 30 days' notice and a pro-rata refund of any prepaid fees.
